1. Definitions
- ›"Souriq", "we", "us" — the operator of the Souriq platform
- ›"Agency", "you" — the licensed employment agency that has registered for a Souriq account
- ›"Platform" — the Souriq web application and associated services
- ›"Agency Data" — all data uploaded to or generated in the platform by the Agency, including candidate profiles, employer records, and documents
- ›"Candidate" — a domestic helper whose profile is managed within the platform by the Agency
2. Eligibility and Account Registration
To use Souriq you must:
- ›Be a licensed employment agency under the Employment Ordinance (Cap. 57), Hong Kong
- ›Have authority to enter into this agreement on behalf of your agency
- ›Provide accurate registration information and keep it current
- ›Be at least 18 years of age
Souriq reserves the right to verify agency licence status at any time and to suspend or terminate accounts where a valid licence cannot be confirmed.
3. Platform Licence
Subject to these Terms, Souriq grants you a non-exclusive, non-transferable, revocable licence to access and use the Platform solely for managing your agency's domestic helper placement operations.
You may not:
- ›Resell, sublicense, or white-label the Platform to third parties
- ›Reverse-engineer, decompile, or attempt to extract the source code
- ›Use the Platform to process data for agencies other than your own without a separate written agreement
- ›Use automated scraping or bulk-export tools not provided by Souriq
- ›Upload data you do not have the right to process
4. Agency Data and Data Processing
4.1 Ownership
Agency Data remains your property at all times. Souriq does not claim any ownership over candidate profiles, documents, or employer records you upload.
4.2 Licence to Souriq
You grant Souriq a limited licence to store, process, and transmit Agency Data solely for the purpose of providing the Platform services to you.
4.3 Your responsibilities as data controller
- ›You are the data controller for all candidate and employer personal data you upload
- ›You must obtain valid consent from candidates before entering their personal data (see Privacy Policy)
- ›You must provide candidates with a Personal Information Collection Statement (PICS)
- ›You are responsible for ensuring your use of the Platform complies with PDPO and the Employment Ordinance
4.4 Data Processing Agreement
By accepting these Terms you also enter into our Data Processing Agreement (DPA), which governs how Souriq processes personal data on your behalf. The DPA forms part of these Terms and is available upon request at privacy@souriq.io.
5. Subscription, Billing, and Cancellation
5.1 Plans
Souriq offers subscription plans as described on the pricing page. Plan features may change with 30 days' notice.
5.2 Payment
- ›Subscriptions are billed monthly or annually in Hong Kong Dollars (HKD)
- ›Payment is due at the start of each billing period
- ›Invoices are issued by email; VAT / GST is not applicable in Hong Kong
5.3 Free trial
Free trials are available as offered. No credit card is required during the trial period. At the end of the trial, continued use requires a paid plan.
5.4 Cancellation
You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial periods. Upon cancellation, Agency Data remains accessible for 30 days for export, after which it is permanently deleted.
6. Acceptable Use
You agree not to use the Platform to:
- ›Process data of individuals without their knowledge or consent
- ›Facilitate any unlawful employment practice or human trafficking
- ›Upload malicious code, viruses, or disruptive content
- ›Attempt to gain unauthorised access to other agencies' data or Souriq systems
- ›Violate any applicable Hong Kong law or regulation
7. Service Availability and Support
7.1 Uptime
Souriq targets 99.5% monthly uptime excluding scheduled maintenance. Scheduled maintenance windows will be notified at least 24 hours in advance.
7.2 Support
- ›Starter plan: email support with response within 2 business days
- ›Growth plan: priority email support with response within 1 business day
- ›Critical security issues: responded to within 4 hours regardless of plan
8. Intellectual Property
All intellectual property in the Platform — including software, design, trademarks, and documentation — is owned by or licensed to Souriq. Nothing in these Terms transfers any IP rights to you.
9. Confidentiality
Each party agrees to keep the other's confidential information (including pricing, technical architecture, and Agency Data) strictly confidential and not to disclose it to any third party without prior written consent, except as required by law.
10. Warranties and Disclaimers
Souriq warrants that:
- ›The Platform will perform materially as described in the documentation
- ›We will implement reasonable security measures as described in the Privacy Policy
- ›We will notify you promptly of any data breach affecting your Agency Data
To the maximum extent permitted by law, Souriq disclaims all other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose. The Platform is provided as a workflow management tool and does not constitute legal, immigration, or employment advice.
11. Limitation of Liability
To the maximum extent permitted by Hong Kong law, Souriq's total liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the total fees paid by you in the 3 months preceding the claim. Souriq shall not be liable for indirect, incidental, or consequential loss.
12. Indemnity
You agree to indemnify and hold Souriq harmless from any claims, losses, or expenses arising from: (a) your breach of these Terms; (b) your violation of any applicable law; (c) your failure to obtain proper consent before uploading personal data; or (d) your use of the Platform in a manner not permitted by these Terms.
13. Termination
By you
You may terminate at any time by cancelling your subscription (see clause 5.4).
By Souriq
Souriq may suspend or terminate your account immediately if you: breach these Terms materially; fail to pay; engage in prohibited conduct; or your agency licence lapses. We will give 7 days' notice where possible except in cases of serious breach or legal requirement.
Effect of termination
Upon termination, your licence to use the Platform ends. Agency Data will be made available for export for 30 days then permanently deleted.
14. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of Hong Kong SAR. Any dispute arising shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
15. Changes to Terms
We may update these Terms from time to time. Material changes will be notified by email at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
